License Agreement

IMPORTANT: PLEASE READ THIS LICENSE AGREEMENT CAREFULLY BEFORE INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE PACKAGE. BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE PACKAGE, YOU AGREE WITH ALL THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT. IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT, DO NOT INSTALL, COPY, OR OTHERWISE USE THIS SOFTWARE PACKAGE.

This software package contains SoftTouch Information Technology Pty. Ltd. software product ClearBoard. ClearBoard includes all the files and documents produced by SoftTouch Information Technology Pty.Ltd. under the name of ClearBoard.

Upon your acceptance of the terms and conditions of this License Agreement, SoftTouch Information Technology Pty. Ltd. grants you ("CUSTOMER") a nonexclusive, nontransferable limited license to use the Software under the restrictions provided below:

ClearBoard is owned by SoftTouch Information Technology Pty. Ltd. You do not have the right to redistribute, transfer, or sell the Software to a third party without the written consent of SoftTouch Information Technology Pty. Ltd.

ClearBoard is confidential and copyrighted. It is protected by Australian Copyright Law and International Treaty provisions. The structure,algorithm, and code of ClearBoard are valuable trade secrets of SoftTouch Information Technology Pty. Ltd. You agree not to cause or permit modification, adaption, translation, reverse-engineering, disassembly, or decompilation of the Software and not to attempt to discover the source code of this software.

You agree not to use ClearBoard for sharing, rental, service use, or any other commercial purpose. You agree not to remove any product identification from ClearBoard.

ClearBoard IS PROVIDED UNDER THIS LICENSE ON AN "AS IS" BASIS. SoftTouch Information Technology Pty. Ltd. and its suppliers MAKE NO WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES THAT THE SOFTWARE IS FREE OF DEFECTS, MERCHANTABLE, FIT FOR A PARTICULAR PURPOSE OR NON-INFRINGING. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU. IN NO EVENT SHALL SoftTouch Information Technology Pty. Ltd. and its suppliers BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, LOSE OF DATA, OR INTERRUPTION OF BUSINESS, EVEN IF SoftTouch Information Technology Pty. Ltd. and its suppliers HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The Agreement will be governed by the laws of New South Wales, Australia. Its conflicts of law rules are not applicable. The Agreement will terminate automatically upon your failure to comply with the terms and conditions herein. The Agreement may only be modified in writing and signed by an authorized personnel of SoftTouch Information Technology Pty. Ltd..
